These Terms and Conditions are entered into by and between you and BeNePay ("BeNePay," "we," "us"), and cover all aspects of your use of our services, including our website, applications, and any other materials produced by BeNePay. These Terms are fully effective, and by creating a BeNePay account, accessing our services, or otherwise interacting with us, you agree to be bound by this Agreement and consent to receive communications electronically in relation to the services or your BeNePay account. You further expressly agree to be fully bound by all of the terms and conditions contained herein, including our: Privacy Policy. If you object to any of these terms, do not use any of the services.
You must read and understand all of the terms of each of our policies and all other agreements that apply to you. For certain services, we may have additional terms and conditions, which we will provide to you through the services or otherwise, and such additional terms and conditions shall be incorporated into this Agreement.

Purpose and Scope of Agreement

These Terms of Service govern the terms and conditions for use of the Platform and the Services. It details the obligations of BeNePay to you. It also highlights certain risks of using the Services, which you must carefully consider, as the provisions of this Agreement shall be binding on you through your use of this website or any of our Services.
We have the sole discretion to refuse to accept any user or to complete any order to transmit, receive, send, withdraw, or redeem funds held in your account at any time.

Registration

• To use the BeNePay Services, you must create a BeNePay Account through registration. Upon registration, you will provide us with information such as your business email, first name, last name, company name, and phone number, and we may seek to verify your information (by ourselves or through a third party), after which we will approve your account unless it is deemed to be a risk. You authorize us to do all of these.
• If you change any of the information you provided to us at the time of registration, including your company name, address, financial institution, payment method, or the products and services you offer, or if there is a corporate reorganization, you agree to notify us of such change within 14 days. If you contact us through an address, phone number, or email account that is not registered with us.

Account Security

You are solely responsible for maintaining adequate security and control over any email ID, password, or other details used to access your BeNePay Account and the Services. You agree not to allow anyone else to possess or use your password details and to comply with all reasonable instructions regarding account access and security. BeNePay will not be responsible for any loss or damage to you if you share your password details. If any of the following situations occur, please change your password immediately and contact BeNePay customer support:

• Anyone asks for your password, OTP, or any other security-related aspect of your gray account.
• Your email address is compromised.
• You suspect that your account or login details (including your password or any other security features) have been stolen, lost, unauthorized, or otherwise compromised.
• Transaction History of Your Account Shows Transactions That You Did Not Initiate.

If we are concerned about the security of the account or any of its security features, we may suspend your account or otherwise restrict its functionality; or there may be unauthorized or fraudulent use of your account or any of its security features.

Software License

For businesses, we hereby grant you a revocable, non-exclusive, non-transferable license to use BeNePay's APIs, developer toolkits, and other software applications ("Software") in accordance with the documentation accompanying the Software. This license grants all updates, upgrades, new versions, and replacement software, including those provided for your use with BeNePay services. You will be responsible for all losses suffered by you, BeNePay, and third parties if you do not comply with the documentation and any other requirements provided by BeNePay. You will immediately cease using any Software upon the expiration or termination of this Agreement.

Warranties and Representations

You represent and warrant to BeNePay that:

• You have full power, authority, regulatory approval, and corporate authorization to enter into, execute, deliver, and perform this Agreement.
• You are a duly organized, authorized, and validly existing entity under the laws of any state, province, or country in which your organization is located. You have been duly authorized to do business in all other states, provinces, or countries in which you conduct business.

Disclaimer

BeNePay will do its best to ensure that the website is always available and error-free. However, use it at your own risk.
Our website and services are provided on an "as is" basis, without any express, implied, and/or statutory warranties (including but not limited to any implied or statutory warranties of merchantability, fitness for a particular purpose or use, title, and non-infringement of intellectual property). Without limiting the generality of the foregoing, BeNePay does not warrant that our website and services will meet your requirements, or that our website will be uninterrupted, timely, secure, or error-free. Any advice or information obtained through our website or from BeNePay, its parent, subsidiaries, or other affiliated companies or their suppliers (or any such entity's respective officers, directors, employees, or agents), whether oral or written, shall not create any warranty.
We have the right to suspend, withdraw, terminate, or modify all or any part of our services without notice. We will not be liable to you if our services are unavailable (in whole or in part) for any reason at any time or for any period. You are responsible for making all necessary arrangements to enable you to access the services.

Limitation of Liability

Your use of the website and services is at your own risk. You agree to abide by the limitation of liability clause to the maximum extent permitted by applicable laws: you will never be liable for any direct, indirect, incidental punitive, consequential, special or punitive damages or any damages (including damages caused by loss of income and profits).
